Platform Licence and Terms of Use

Cashless Settlement Program · Version 1.0 — 2 October 2026

These Terms govern the Provider's access to and use of the MediConCen provider portal (the "Portal") for the cashless settlement program described in the Background below. The Provider accepts these Terms electronically when it first logs in to the Portal. If the Provider does not agree, it must not use the Portal.

1. Background

A. MediConCen ("MCC") operates a provider portal (the "Portal") supporting a cashless settlement program for medical claims insured by participating insurers (each, an "Insurer").

B. Under the program, the Insurer retains pre-approval, the Letter of Guarantee and every claim decision. MCC acts as the Insurer's payment agent and technology provider: it executes funded settlement instructions through single-use virtual Mastercards and provides the Portal as the channel through which claim documents flow.

D. The medical provider identified in the Portal registration (the "Provider") wishes to use the Portal to view guarantees, submit claim documentation and receive settlement by charging virtual Mastercards through its own acquiring bank, on the terms set out below.

3.1 Subject to the Provider's compliance with this Agreement, MCC grants the Provider a free, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Portal solely for Program purposes (viewing LOGs and Virtual Card status, uploading Claim Files, tracking payment status, and related Program administration).

3.2 All intellectual property rights in the Portal — including software, interfaces, content, trademarks and data models — remain vested in MCC. Nothing in this Agreement assigns or transfers any such rights to the Provider.

3.3 The Provider must not: (a) copy, modify, reverse-engineer or create derivative works of the Portal except as strictly necessary to use it as permitted; (b) resell, rent, or provide access to the Portal to any third party; (c) use the Portal for any purpose other than the Program; or (d) remove or obscure any proprietary notices.

3.4 MCC may update, modify or enhance the Portal at any time. Material changes affecting the Provider's use will be notified through the Portal or by email with reasonable notice.

4. Claim decisions and queries

4.1 MCC's functions under the Program are limited to operating the Portal and arranging settlement in accordance with the Insurer's instructions.

4.2 All decisions regarding pre-approval, the Letter of Guarantee, coverage and payable amounts are made by the Insurer.

4.3 The Provider shall direct all questions about coverage, the LOG, the payable amount, or any insured's policy to the Insurer and not to MCC. MCC is not responsible for resolving such questions or for the timing of their resolution.

5. Provider obligations to MCC

Information submitted through the Portal

5.1 The Provider shall ensure that all information it submits through the Portal (including Claim Files) is true, accurate and complete. MCC forwards Claim Files to the Insurer as a channel only and does not review, verify, adjust or decide anything in them.

Account security

5.2 The Provider shall keep its Portal credentials confidential, restrict access to authorised staff only, and notify MCC immediately of any suspected unauthorised access. The Provider is responsible for all activity under its accounts.

Acceptable use

5.3 The Provider shall not misuse the Portal, upload unlawful, infringing or malicious content, or attempt to disrupt, probe or gain unauthorised access to the Portal or its underlying systems.

6. Fees

6.1 The Portal licence is free. MCC charges the Provider no licence fee, platform fee, subscription or payment-agency fee under this Agreement.

7. Personal data and confidentiality

7.1 The Provider warrants that, before uploading any Claim File containing Personal Data, it has obtained all necessary consents and authorities (including the patient's) to disclose that Personal Data through the Portal for Program purposes, namely claim submission, adjudication support and settlement.

7.2 The Provider shall disclose only the Personal Data reasonably necessary for the relevant Program case and shall not upload unrelated patient records.

7.3 The parties acknowledge that the Insurer is the data controller of insurer-controlled Personal Data and that MCC processes Personal Data as data processor for settlement and Portal-operation purposes, in accordance with the Insurer's instructions and the Personal Data (Privacy) Ordinance (Cap. 486).

7.4 Each party shall: (a) implement appropriate technical and organisational measures to protect Personal Data; (b) notify the other without undue delay of any suspected personal data breach relating to the Portal; and (c) cooperate reasonably with data subject requests and regulatory enquiries.

7.5 Each party shall keep confidential all non-public information of the other party (and of the Insurer, where applicable) obtained through the Program, and shall not disclose it except (a) to its staff and advisers who need to know and are bound by confidentiality; (b) as required by law or regulation; or (c) with the disclosing party's prior written consent. This clause survives termination for 1 year.

7.6 MCC shall comply with all applicable laws and regulations relating to the protection of Personal Data and the security of the Portal, including the Personal Data (Privacy) Ordinance (Cap. 486).

8. Support

8.1 MCC may make technical support for the Portal available through its support hotline at (852) 3002 0821. No service levels, uptime commitments or response times are promised unless expressly agreed in writing.

8.2 Questions about coverage, the LOG, the payable amount or claim status decisions must be directed to the Insurer. MCC is not responsible for resolving them.

9. Term, suspension and termination

9.1 This Agreement takes effect when the Provider accepts it electronically and continues until terminated under this clause.

9.2 Either party may terminate by giving 30 days' written notice. Notices of termination to MCC must be sent to info@mediconcen.com. MCC may suspend or terminate access immediately where the Provider materially breaches this Agreement, where suspension is needed to protect the security or integrity of the Portal, or where required by law or by the Insurer's instruction.

9.3 On termination or expiry: (a) the Provider's licence and access end immediately; (b) each party shall return or, at the other party's election, securely delete the other's confidential information and Personal Data, subject to legal retention duties; and (c) accrued rights and clauses 7, 10 and 11 survive.

10. Warranties, disclaimers and liability

10.1 MCC gives no warranties in relation to the Portal, whether express or implied. The Portal is provided "as is" and "as available". In particular, MCC does not warrant that the Portal will be uninterrupted, error-free, secure or fit for any particular purpose.

10.2 MCC is not liable for: (a) the Insurer's pre-approval, LOG, claim or coverage decisions, or their timing; (b) the acts or omissions of the Provider's acquiring bank, including MDR, settlement timing or failed presentment; or (c) the accuracy of Claim Files submitted by the Provider.

10.3 The Provider shall indemnify MCC against all losses, damages, costs and expenses (including reasonable legal costs) arising from: (a) any breach of this Agreement by the Provider; (b) any inaccurate or incomplete information submitted through the Portal; (c) any misuse of Virtual Cards; or (d) any claim by the Insurer, an acquirer, a patient or any third party arising from the Provider's acts or omissions in connection with the Program.

10.4 To the maximum extent permitted by law, MCC's aggregate liability under or in connection with this Agreement is limited to HKD 300,000 per 12-month period. Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

10.5 Neither party is liable for indirect or consequential loss, loss of profit, revenue or goodwill, except where such loss arises from breach of clause 7 or wilful misconduct.

10.6 Neither party is liable for failure to perform due to events beyond its reasonable control (force majeure), provided it notifies the other promptly and mitigates the effects.

11. Governing law and jurisdiction

11.1 This Agreement is governed by the laws of Hong Kong.

11.2 The parties submit to the exclusive jurisdiction of the courts of Hong Kong.

12. General

12.1 Amendments. MCC may amend these Terms by posting the updated version in the Portal. The amended Terms take effect on posting, and continued use of the Portal constitutes acceptance.

12.2 Assignment. The Provider may not assign this Agreement without MCC's prior written consent. MCC may assign to a successor in connection with a merger, acquisition or sale of the Portal business.

12.3 Notices. Notices under this Agreement may be given through the Portal, by email to the registered addresses, or as otherwise agreed, and are deemed received on sending (if during business hours) or the next Business Day.

12.4 Entire agreement and severability. This Agreement constitutes the entire agreement between MCC and the Provider regarding Portal use. If any provision is held unenforceable, the remainder continues in effect.

12.5 Third-party rights. No person other than a party to this Agreement has any right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce any term.

13. Electronic acceptance

13.1 The Provider accepts these Terms by ticking the acceptance checkbox (or equivalent mechanism) presented on first login to the Portal. Ticking the checkbox constitutes the Provider's agreement to these Terms as if signed in writing. The individual ticking the checkbox represents that they are authorised to bind the Provider.

13.2 Every login to the Portal by the Provider (or any of its authorised users) indicates the Provider's consent to, and agreement to comply with, the version of these Terms then in effect.

13.3 MCC will make the current version of these Terms available in the Portal at all times and will keep an electronic record of the Provider's acceptances.
